Depending on the applicable engagement, activities may include:
- market-entry coordination;
- commercial structuring;
- operational alignment;
- manufacturing and supply coordination;
- distribution coordination;
- logistics coordination;
- import/export execution;
- customs-entry preparation;
- market-readiness activities;
- commercial-market alignment;
- retail and channel coordination;
- fulfillment and warehousing coordination;
- cross-border operational planning; and
- related international commercialization activities.
Applicable activities may also involve operational and representation frameworks such as Responsible Person (EU RP), Authorised Representative (EU AR), Food Business Operator (FBO), Importer of Record (IOR), exporter coordination, importer coordination, operational-entry structuring, customs and trade-documentation alignment, product-registration activities, and other jurisdiction-specific market-access, representation, importation, or exportation requirements connected to international commercial operations.
Activities may apply across wellness, cosmetics & beauty, hygiene & personal care, consumer health, household, lifestyle, and adjacent regulated consumer sectors.

- guarantee manufacturing capacity;
- guarantee uninterrupted supply continuity;
- guarantee commercial performance;
- guarantee retailer onboarding; or
- guarantee uninterrupted market access.
Avurion may coordinate with manufacturers, suppliers, external operators, importers, exporters, distributors, logistics providers, warehousing providers, laboratories, consultants, commercial representatives, fulfillment operators, regulatory specialists, and other third-party commercial participants connected to applicable activities.
Where manufacturing, sourcing, production, packaging, fulfillment, supply, importation, exportation, logistics, or warehousing activities involve external third-party participants, such activities remain subject to the capabilities, timelines, operational conditions, commercial terms, and performance of the applicable third-party participants.
3. Customer Responsibilities
Customers remain solely responsible for:
- product legality;
- formulation integrity;
- ingredient compliance;
- claims accuracy;
- labeling accuracy;
- packaging compliance;
- technical documentation;
- manufacturing standards;
- production specifications;
- supplier selection;
- intellectual property ownership;
- product safety;
- regulatory compliance; and
- compliance with applicable laws and jurisdictional requirements.
Customers warrant that all documents, specifications, declarations, certificates, claims, technical information, formulations, instructions, and materials supplied to Avurion are accurate, complete, lawful, and not misleading.
Customers acknowledge that Avurion may rely on customer-provided information without independently verifying all underlying technical, scientific, manufacturing, operational, commercial, customs, import/export, or regulatory details.
4. Regulatory & Commercial Conditions
International market-entry and commercial activities are influenced by changing regulatory frameworks, customs procedures, operational-entry requirements, product classifications, documentation standards, language requirements, authority decisions, import/export conditions, trade restrictions, and broader jurisdiction-specific conditions.
Applicable activities may involve jurisdiction-specific importer, exporter, representation, registration, operational-entry, customs, documentation, and market-access requirements connected to international commercial activities.
Avurion does not guarantee:
- regulatory approvals;
- customs clearance;
- authority acceptance;
- uninterrupted importation;
- uninterrupted exportation;
- manufacturing continuity;
- supplier performance;
- retailer acceptance;
- distributor onboarding;
- commercial-market penetration;
- shipment continuity; or
- sales performance.
Any timelines, launch expectations, commercial projections, operational estimates, manufacturing estimates, shipping estimates, or execution forecasts discussed by Avurion are indicative only unless expressly guaranteed in writing.
5. Third-Party Providers
Certain activities may involve third-party participants, including:
- manufacturers;
- suppliers;
- importers;
- exporters;
- logistics providers;
- customs brokers;
- distributors;
- warehousing operators;
- fulfillment providers;
- software platforms;
- payment providers;
- regulatory specialists;
- laboratories;
- consultants; and
- commercial partners.
Avurion is not liable for delays, interruptions, losses, authority decisions, shipment disruption, customs disruption, manufacturing defects, production delays, operational failures, inventory shortages, supplier failures, export restrictions, import restrictions, or performance issues caused by third-party participants beyond Avurion’s reasonable control.
Third-party activities may also be governed by separate commercial terms, pricing structures, operational conditions, manufacturing limitations, production capabilities, shipping conditions, customs requirements, and jurisdiction-specific obligations.
6. Operational & Commercial Decisions
Avurion reserves the right to suspend, decline, delay, restrict, or discontinue activities where:
- documentation is incomplete;
- information appears inaccurate;
- compliance concerns arise;
- operational risks increase;
- manufacturing concerns arise;
- supply instability exists;
- import/export risks emerge;
- payment obligations remain outstanding;
- legal exposure exists; or
- Avurion reasonably determines that continuing an activity may expose Avurion or associated parties to operational, commercial, legal, manufacturing, customs, regulatory, import/export, or reputational risk.
Avurion may also refuse activities falling outside its operational scope, sector focus, or commercial risk tolerance.
7. Fees & Payments
Applicable fees, retainers, commissions, operational charges, commercial participation structures, reimbursement obligations, and related commercial terms shall be governed by the applicable quotation, proposal, invoice, agreement, or commercial arrangement issued by Avurion.
Unless otherwise agreed:
- payments are non-refundable;
- third-party costs remain payable by the customer;
- operational expenses may be charged separately; and
- unpaid balances may result in suspension of activities.
8. Intellectual Property
All Avurion branding, graphics, visual assets, frameworks, systems, website content, operational methodologies, documentation structures, commercial materials, and related intellectual property remain the property of Avurion unless otherwise agreed in writing.
No rights are granted to use Avurion intellectual property without prior written consent.
Customers retain ownership of their own brands, trademarks, packaging, products, formulations, technical materials, and proprietary information supplied to Avurion.
9. Confidentiality
Each party agrees to treat confidential information disclosed in connection with commercial engagements as confidential and not disclose such information to unauthorized third parties except:
- where disclosure is required by law;
- where disclosure is operationally necessary;
- where information becomes publicly available through no fault of the receiving party; or
- where disclosure is approved in writing.
Confidential information may include commercial plans, supplier information, manufacturing information, sourcing information, technical documents, pricing structures, operational systems, market-entry strategies, production information, import/export information, and related business materials.
10. Website Use
Users may not:
- misuse the website;
- interfere with website functionality;
- attempt unauthorized access;
- reproduce protected materials without authorization;
- use the website for unlawful purposes; or

Avurion reserves the right to restrict or terminate website access where misuse is identified.

- reputational damage; or

Avurion’s total aggregate liability relating to any engagement shall not exceed the total amount paid directly to Avurion for the specific activities giving rise to the claim.
12. Indemnity
Customers agree to indemnify and hold harmless Avurion, its directors, officers, affiliates, contractors, consultants, and associated operators from claims, liabilities, penalties, damages, costs, or expenses arising from:
- customer products;
- product claims;
- inaccurate information;
- labeling violations;
- intellectual property disputes;
- manufacturing defects;
- supplier disputes;
- regulatory violations;
- unlawful activities; or
- breaches of these Terms.
13. Suspension & Termination
Avurion may suspend or terminate activities or engagements where:
- compliance concerns arise;
- operational risks materially increase;
- cooperation becomes impossible;
- manufacturing instability affects execution;
- import/export instability affects execution;
- customer conduct becomes misleading, abusive, or unlawful; or
- payment obligations remain unpaid.
Termination shall not remove outstanding payment obligations accrued prior to termination.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Cyprus.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus unless otherwise agreed in writing.
15. Changes to Terms
Avurion reserves the right to modify or update these Terms at any time.
Updated versions become effective upon publication on this website unless otherwise stated.
Continued use of the website or participation in activities connected to Avurion constitutes acceptance of the updated Terms.
